Terms of Service

These Terms of Service (Terms) form a legal agreement between you (you, your, User) and CivicAI Solutions Pty Ltd (an Australian proprietary limited company, registered in Victoria, Australia — ACN 693 254 965, ABN 92 693 254 965) trading as Virex (Virex, we, us, our). The Service is operated globally and may, in future, be operated in part by an affiliated Dutch entity for European users; Virex will notify users in advance if such an operational change affects this agreement. These Terms govern your use of the Virex platform at virex.build and any associated services, APIs, downloads, and applications (collectively, the Service). By creating an account, signing in, accessing, or using the Service in any way, you agree to be bound by these Terms and our Acceptable Use Policy, Privacy Policy, and (where applicable) our Data Processing Addendum (DPA). If you do not agree, do not use the Service.

1. About Virex

Virex is a build-generation platform that uses a deterministic engine combined with large language models (LLMs) to produce downloadable Next.js and Expo project repositories from natural-language prompts. The Service includes the build engine, hosted preview rendering, edit and repair tools, static and live previews, and the storage and delivery of generated repositories.

3. Eligibility & Account

You must be at least 16 years old, or the age of digital consent in your jurisdiction (whichever is higher), and have the legal capacity to enter into binding contracts. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation. You are responsible for safeguarding your account credentials and for all activity under your account. You must promptly notify us of any unauthorised access. We may require email verification, phone verification, or additional checks before granting access to certain features.

4. Subscription Plans & Pricing

Plans, prices, included Credits, and Plan-specific limits are set out on our Pricing page and may be updated from time to time. Plans renew automatically at the end of each billing period (monthly or annual, as selected) at the then-current price unless cancelled before renewal. Sales tax, VAT, GST, or similar charges may apply based on your location.

5. Payment Terms

Payments are processed through Stripe and may be subject to Stripe's terms. By providing payment details you authorise us (and our payment processor) to charge the applicable fees. If a payment fails, we may suspend access until payment is restored. You are responsible for maintaining a valid payment method.

6. Refunds & Cancellation

Subscriptions may be cancelled at any time; cancellation takes effect at the end of the current billing period and you will retain access until then. Except where required by Australian Consumer Law (ACL) or other applicable consumer-protection law, payments are non-refundable. Where required by law, refunds will be issued in line with the relevant statutory rights. If you believe you are entitled to a refund, contact VIREX@civicai-solutions.com with your account email and reason for the request.

7. Free Trial & Promotional Access

From time to time we may offer a free trial, free Build, or promotional Plan. Such offers are subject to limits stated at the time of offer (e.g. one Build per account, no edit access, watermark on output). Free or promotional Builds may carry a "Built with Virex" credit. Abuse of free offers (multiple accounts, automated signups, etc.) may result in immediate account termination.

8. Generated Content & Intellectual Property

You own your Generated Content. Subject to your compliance with these Terms, Virex assigns to you all rights, title, and interest we may have in the Generated Content produced for your account. You are free to use, modify, distribute, sell, and deploy that content without further permission, except for any third-party components incorporated (see below).

Third-party components. Builds may include code or assets drawn from open-source libraries, paid templates licensed by us, or other third-party Foundations. Such components are governed by their own licences, which we make commercially reasonable efforts to surface in the README of each Build. You are responsible for complying with those licences in your use of the Generated Content.

Virex's IP. The Service itself — including the build engine, Foundation index, slot composer, prompt-to-spec pipeline, telemetry tooling, branding, and documentation — is and remains the exclusive property of Virex and its licensors. Nothing in these Terms grants you any right or licence to those underlying assets except as strictly necessary to use the Service. You may not reverse-engineer, scrape, replicate, or attempt to extract our build engine.

9. AI / LLM Output Disclaimer

The Service uses LLMs (including but not limited to OpenAI and Anthropic models) to assist in generating output. LLM output can be incorrect, inconsistent, biased, or contain hallucinated content. We do not warrant that Generated Content is fit for production use, free from defects, legally compliant in your jurisdiction, or appropriate for a specific purpose. You are responsible for reviewing, testing, securing, and validating Generated Content before shipping it to end users. Do not deploy Generated Content to production without independent code review and testing.

10. Acceptable Use

You must comply with our Acceptable Use Policy at all times. Prohibited uses include: generating or distributing malware, phishing kits, spyware, botnets, fraud or scam tooling; child sexual abuse material (CSAM); content that incites violence, terrorism, or hatred against protected groups; intellectual-property infringement; spam-generation infrastructure; any illegal activity under applicable law; and attempting to bypass rate limits, abuse free tiers, or extract our underlying engine. Violation may result in immediate suspension or termination without refund.

11. User Content & Prompts

You retain ownership of the prompts and other content you submit to the Service. By submitting content, you grant us a non-exclusive, worldwide, royalty-free licence to use, store, process, and display that content solely to operate, secure, and improve the Service. We may use anonymised or aggregated data derived from prompts to improve the Service (e.g. quality benchmarking, model tuning, abuse detection); we will not sell your prompts or Generated Content to third parties.

12. Privacy & Data Retention

Our handling of personal data is described in our Privacy Policy. Generated Content (your zip files, preview HTML snapshots, build reports, and edit history) is retained according to the following schedule:

You may export your Generated Content at any time via the dashboard. EU/EEA users may invoke their right to erasure under GDPR — see the Privacy Policy for the request process.

13. Service Availability

We aim to keep the Service available with high uptime but make no guarantee of uninterrupted access. The Service is provided on an "as available" basis. We may perform scheduled or emergency maintenance with or without notice. Some features rely on third-party providers (e.g. Stripe, Supabase, OpenAI, Anthropic, GitHub, Vercel) whose outages may temporarily affect the Service.

14. Service Modifications

We may add, remove, or modify features, Plans, Foundations, or pricing at any time. We will give reasonable notice of material changes that adversely affect paying customers. Your continued use after such changes constitutes acceptance of the modified Service.

15. Termination & Suspension

Voluntary cancellation: You may cancel your subscription at any time from your account settings or by contacting us. Cancellation takes effect at the end of your current paid billing period; you retain full access until then. After cancellation, the data retention schedule in section 12 applies.

Suspension by Virex: We may suspend access immediately if we reasonably believe your account is being used in violation of these Terms, the AUP, or applicable law; if we detect payment fraud, account compromise, or chargeback signals; if your usage is creating undue infrastructure load; or if we are required to do so by law, court order, or a regulator. Suspended accounts can be reinstated after the underlying issue is resolved.

Termination by Virex: We may permanently terminate your account where we determine, in our reasonable judgement, that a serious breach has occurred (e.g. CSAM, terrorism-related abuse, repeated fraud, persistent multi-account abuse, attempted reverse- engineering of the Service). On termination for breach, no refund is owed and Generated Content may be deleted immediately.

16. Account Block, Ban, & Notification

We use two graduated enforcement levels:

Right to appeal: every block and ban can be appealed by emailing VIREX@civicai-solutions.com within 30 days of the action. Provide your account email, the date of the action, the reason category from the notification email, and any context you wish us to consider. We aim to acknowledge appeals within 2 business days and resolve them within 5 business days. If you remain dissatisfied with the outcome, you may pursue dispute resolution under section 22 below.

No retaliation: making a good-faith appeal will not by itself result in further action against your account.

17. Disclaimer of Warranties

To the fullest extent permitted by law, the Service and Generated Content are provided "AS IS" and "AS AVAILABLE", without warranty of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Nothing in these Terms excludes, restricts, or modifies any consumer guarantees or rights you may have under the Australian Consumer Law (ACL) that cannot be lawfully excluded.

18. Limitation of Liability

To the maximum extent permitted by law: (a) Virex's total aggregate liability to you for all claims arising out of or relating to these Terms or the Service in the 12 months preceding the claim is limited to the greater of (i) the fees you paid to Virex in that period, or (ii) AUD $100; (b) Virex will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities, whether or not foreseeable. The above limitations do not apply to liability that cannot be limited under the ACL or other applicable consumer law.

19. Indemnification

You agree to indemnify, defend, and hold harmless Virex, its directors, employees, and agents from any third-party claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your Generated Content or its deployment; (c) your breach of these Terms or the AUP; or (d) your violation of any law or third-party rights.

20. Dispute Resolution

Before commencing formal proceedings, the parties will use good-faith efforts to resolve disputes informally by contacting VIREX@civicai-solutions.com. If unresolved after 30 days, disputes will be referred to mediation administered by the Resolution Institute (Australia), or — for users primarily resident in the EU — by De Geschillencommissie (Netherlands) or any other ODR-platform mandated by Article 14 of EU Regulation 524/2013, before any court action, except for urgent injunctive relief.

21. Governing Law & Jurisdiction

Primary law: These Terms are governed by the laws of Victoria, Australia, where Virex's operating entity is registered. The parties submit to the exclusive jurisdiction of the courts of Victoria and the Federal Court of Australia, except that either party may seek interim injunctive relief in any court of competent jurisdiction.

Consumer rights are preserved: nothing in this section excludes or limits mandatory consumer-protection rights you have under the law of your country of habitual residence where such rights cannot be waived by contract. In particular:

If Virex's operating entity moves or expands to the Netherlands in future (as a Dutch B.V.), we will notify users at least 30 days in advance and offer the choice of (a) accepting the new governing-law clause, or (b) cancelling without penalty.

22. Changes to These Terms

We may update these Terms from time to time. When material changes are made we will bump the version (visible at the top of this page) and notify active users by email or via an in-app banner. Continued use of the Service after the effective date of the updated Terms constitutes acceptance. If you do not agree with the updated Terms you must stop using the Service before the effective date and may cancel your subscription.

Notices to you may be sent to the email address on your account. Notices to us must be sent to VIREX@civicai-solutions.com. For service of legal process, the registered office address of CivicAI Solutions Pty Ltd (ACN 693 254 965, ABN 92 693 254 965) is on file with the Australian Securities and Investments Commission (ASIC) and can be obtained by request to the email above or via ASIC's public register.

24. Severability & Entire Agreement

If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force. These Terms, together with the AUP and Privacy Policy, constitute the entire agreement between you and Virex regarding the Service and supersede any prior agreements.
